NON-EXECUTIVE DIRECTOR

CEnet Limited (CEnet) was founded to support the evangelising and educational mission of the Catholic Church. Operating as a not-for-profit organisation, CEnet provides shared ICT services to seventeen Member Catholic Dioceses, connecting 780+ school and Diocesan communities across metropolitan, regional and rural NSW, QLD, TAS, the ACT and NT. CEnet’s end-user population extends to some 330,000 users including K-12 students, teachers and administrative staff.
CEnet’s board is currently made up of both members from a number of the 17 Dioceses that CEnet services and independent non-executive directors. The board is responsible for the overall corporate governance of CEnet including its strategic direction, expenditure, risk management and legal compliance.
CEnet seeks to appoint an independent non-executive director to fill a current board vacancy. The new director will have skills, knowledge, and experience in one or more of the following:
- Delivery of shared services and/or corporate services functions as a CEO or senior management
- Strategy and business development to drive growth and member engagement
- Legal background
- Risk management
- Strategic marketing and communications, and/or
- ICT including IT governance and cyber risks.
In addition, the successful candidate must also be able to meet the following criteria:
- The ability to understand and support the mission of Catholic education and work effectively within a not-for-profit, member-based company context including liaising with, and gaining the trust and respect of, members.
- A sound contemporary and working knowledge of corporate governance including preferably through previous board experience, and an ability to apply that knowledge to improve business performance.
The Independent non-executive director cannot be employed by a Member Diocese.
The board is open to a director based anywhere in Australia to reflect CEnet’s national footprint. The company’s head office is in Wollongong.
The board meets bi-monthly, with committee and board meetings held via video conference, except for three in person meetings per annum held at one of CEnet's member offices.
The director roles are voluntary. Travel expenses associated with attending to CEnet business are met by CEnet, as are certain professional development expenses.
